These Terms govern your use of the SupplyDesk web application, supplier dashboards, buyer portals, APIs, emails, and related services (together, “the Service”), provided by SupplyDesk. For legal entity details, contract notices, or formal legal correspondence, contact legal@supplydesk.ca.
By using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you confirm you have authority to bind that company to this agreement.
The Service is for business use only. You must be at least 18 and legally able to enter a contract. Your login credentials are personal to you and may not be shared or transferred. You are responsible for activity on your account and must tell us immediately at hello@supplydesk.ca if you suspect unauthorized access.
SupplyDesk provides catalog management, buyer portals, and ordering tools for industrial suppliers. The supplier using SupplyDesk — not SupplyDesk itself — is the seller of record for any transaction placed through the Service.
You retain all rights to the data you submit — catalogs, pricing, orders, buyer information, and so on (“Customer Data”). You grant us a limited license to host, copy, transmit, transform, and display Customer Data solely to provide the Service to you. You are responsible for making sure the Customer Data you submit is lawful and accurate.
You will not use the Service for anything unlawful or fraudulent, to distribute malware, to bypass security controls, to access accounts you are not authorized to access, to scrape or reverse-engineer the Service, or to resell the Service without our written permission.
Subscriptions are billed in advance and renew automatically until cancelled. Fees are non-refundable and non-creditable except where the law requires otherwise. Payments are processed by Stripe; we never store your full card number.
You can cancel your subscription at any time from your account settings. Cancellation stops future billing; you keep access to the Service through the end of your current paid billing period, and your subscription will not renew after that. Since fees are non-refundable, cancelling early does not entitle you to a prorated refund for the remainder of that period. Some features connect to third-party services, like QuickBooks Online. Those services have their own terms, and we are not responsible for their availability, accuracy, or changes.
SupplyDesk may offer an optional integration with QuickBooks Online. This integration only connects once an authorized user of your QuickBooks company grants permission through Intuit is own authorization flow — we never request more access than the sync features you enable require.
SupplyDesk is not an accounting, bookkeeping, tax, audit, payroll, or financial advisory service. We do not review, approve, verify, audit, or certify your invoices, catalog data, buyer information, taxes, financial records, or accounting treatment.
When an order syncs, SupplyDesk creates or updates records in QuickBooks based on the information in your account, your catalog, and your integration settings. Synced invoices are created for your review — SupplyDesk does not automatically send invoices to your buyers unless you have expressly enabled that in your account settings. Your team stays in control of reviewing, editing, and sending the final invoice.
You and your authorized users are solely responsible for reviewing, editing, approving, sending, collecting, voiding, correcting, reconciling, reporting, and retaining any invoices or financial records in QuickBooks or any other accounting system, and for confirming that synced data — buyer details, item mappings, prices, taxes, quantities, invoice numbers, and accounting classifications — is accurate.
SupplyDesk is not responsible for financial loss, accounting errors, tax treatment, audit findings, reporting errors, missed collections, duplicate records, incorrect mappings, actions taken by your staff, or any other issue arising from your use of QuickBooks, your financial records, or your failure to review synced data before it is sent.
QuickBooks Online is provided by Intuit, not SupplyDesk. Your use of QuickBooks is governed by your agreement with Intuit, and SupplyDesk is not responsible for QuickBooks’ availability, features, or any changes Intuit makes to its systems or APIs.
SupplyDesk and its licensors own all rights to the Service and its underlying technology. If you send us feedback or suggestions, we may use them without restriction or any obligation to compensate you.
Both parties will use reasonable care to protect non-public information shared under this agreement. Our Privacy Policy explains how we handle personal information. No system is completely secure, and we cannot guarantee against every possible incident.
We may add, change, or discontinue features of the Service over time. Unless you have a signed agreement stating otherwise, we do not guarantee a specific uptime level.
We may suspend or terminate your access for overdue fees, security risk, a material breach of these Terms, or where required by law. Sections relating to payment, intellectual property, disclaimers, and liability survive termination.
If your account is cancelled or terminated, your catalog, buyer list, and order records stored in SupplyDesk remain available for 30 days, so you can reactivate or request an export. You can request a full export of this data at any time during that window by contacting hello@supplydesk.ca. After 30 days without reactivation, this data is permanently deleted from our systems.
Removing an individual buyer from your account revokes that buyer’s portal access immediately. It does not delete the historical orders already placed by that buyer — those remain part of your account’s order history, subject to the same retention described above.
SupplyDesk does not store a copy of your QuickBooks invoices or transactions. When an order syncs, the invoice is created directly in your own QuickBooks account — QuickBooks Online, not SupplyDesk, is the system of record for that data. Deleting your SupplyDesk account has no effect on records already in your QuickBooks account.
Some records — including billing history and records we are required to keep for legal, tax, or fraud-prevention purposes — may be retained longer than 30 days where the law requires it.
The Service is provided “as is” and “as available.” We disclaim all implied warranties to the extent the law allows, including any warranty about the accuracy of catalog matches, prices, taxes, inventory values, or reports generated by the Service.
Neither party is liable for indirect, consequential, or punitive damages. SupplyDesk’s total liability under these Terms is capped at the fees you paid in the 12 months immediately before the event giving rise to the claim.
You agree to indemnify SupplyDesk against claims arising from your Customer Data, the products or services you sell through the Service, or your material breach of these Terms.
These Terms are governed by the laws of India, and any dispute is subject to the exclusive jurisdiction of the courts in Gujarat, India. Before filing a claim, both parties agree to attempt a good-faith resolution for 30 days.
We will give advance notice of material changes to these Terms, and material changes may require you to re-accept before continuing to use the Service.
These Terms, our Privacy Policy, and any signed order form make up the entire agreement between you and SupplyDesk. You cannot assign this agreement without our consent. Nothing here creates a partnership, joint venture, or employment relationship between the parties.
